國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben)是(shi)(shi)推進(jin)(jin)(jin)國(guo)(guo)家(jia)現代化(hua)、維護國(guo)(guo)家(jia)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)安全(quan)的重(zhong)要(yao)(yao)(yao)保障(zhang),是(shi)(shi)我們黨和(he)(he)國(guo)(guo)家(jia)事業發展的重(zhong)要(yao)(yao)(yao)物質基礎和(he)(he)政治基礎。國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)機(ji)(ji)構(gou)是(shi)(shi)服務實(shi)體(ti)經濟、防控(kong)(kong)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)風險、深化(hua)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)改革(ge)的重(zhong)要(yao)(yao)(yao)支柱,是(shi)(shi)促進(jin)(jin)(jin)經濟和(he)(he)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)良性循環(huan)健(jian)康發展的重(zhong)要(yao)(yao)(yao)力(li)量。近年(nian)來,我國(guo)(guo)國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben)規(gui)模穩(wen)步增(zeng)長(chang),實(shi)力(li)日益壯大,管(guan)(guan)(guan)(guan)理體(ti)制(zhi)(zhi)機(ji)(ji)制(zhi)(zhi)不(bu)(bu)(bu)(bu)斷健(jian)全(quan),國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)機(ji)(ji)構(gou)改革(ge)持續(xu)推進(jin)(jin)(jin),運營效(xiao)益明(ming)顯提(ti)升(sheng),為促進(jin)(jin)(jin)社(she)會主(zhu)(zhu)義市場經濟平穩(wen)健(jian)康發展作出(chu)了重(zhong)要(yao)(yao)(yao)貢獻。但(dan)也要(yao)(yao)(yao)看到,當前國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben)管(guan)(guan)(guan)(guan)理還(huan)存在(zai)職(zhi)責(ze)分散(san)、權(quan)責(ze)不(bu)(bu)(bu)(bu)明(ming)、授權(quan)不(bu)(bu)(bu)(bu)清、布(bu)局(ju)不(bu)(bu)(bu)(bu)優(you),以(yi)及配置(zhi)效(xiao)率有(you)(you)(you)(you)(you)(you)待(dai)提(ti)高、法(fa)治建(jian)設不(bu)(bu)(bu)(bu)到位等矛盾和(he)(he)問題,需要(yao)(yao)(yao)進(jin)(jin)(jin)一步完善國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben)體(ti)制(zhi)(zhi)機(ji)(ji)制(zhi)(zhi),優(you)化(hua)管(guan)(guan)(guan)(guan)理制(zhi)(zhi)度。面向未來,在(zai)決勝(sheng)全(quan)面建(jian)成小(xiao)康社(she)會、實(shi)現社(she)會主(zhu)(zhu)義現代化(hua)和(he)(he)中(zhong)華民族偉大復(fu)興的進(jin)(jin)(jin)程中(zhong),要(yao)(yao)(yao)認真貫徹落實(shi)黨中(zhong)央、國(guo)(guo)務院(yuan)決策部署,按照全(quan)國(guo)(guo)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)工作會議要(yao)(yao)(yao)求,繼續(xu)發揮國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben)的重(zhong)要(yao)(yao)(yao)作用,依法(fa)依規(gui)管(guan)(guan)(guan)(guan)住(zhu)管(guan)(guan)(guan)(guan)好(hao)用好(hao)、堅(jian)定不(bu)(bu)(bu)(bu)移(yi)做強(qiang)做優(you)做大國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben),不(bu)(bu)(bu)(bu)斷增(zeng)強(qiang)國(guo)(guo)有(you)(you)(you)(you)(you)(you)經濟的活力(li)、控(kong)(kong)制(zhi)(zhi)力(li)、影響力(li)和(he)(he)抗風險能力(li)。現就完善國(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)(jin)融(rong)(rong)(rong)(rong)資本(ben)管(guan)(guan)(guan)(guan)理提(ti)出(chu)如下意見。
一、總體要求
(一)指導(dao)(dao)(dao)思想(xiang)。高舉(ju)中(zhong)(zhong)國(guo)(guo)特色社會主(zhu)義偉大旗幟(zhi),以習近(jin)平新時代(dai)(dai)中(zhong)(zhong)國(guo)(guo)特色社會主(zhu)義思想(xiang)為(wei)(wei)指導(dao)(dao)(dao),全面貫徹黨的十(shi)九大和全國(guo)(guo)金(jin)融(rong)(rong)(rong)工作會議精神,堅(jian)持(chi)和完善(shan)社會主(zhu)義基本(ben)(ben)經(jing)濟(ji)制(zhi)度(du),以依法(fa)保護各類產(chan)權(quan)為(wei)(wei)前(qian)提(ti),以提(ti)高國(guo)(guo)有(you)金(jin)融(rong)(rong)(rong)資本(ben)(ben)效益(yi)和國(guo)(guo)有(you)金(jin)融(rong)(rong)(rong)機構活力、競爭力和可(ke)持(chi)續(xu)(xu)發(fa)(fa)展能力為(wei)(wei)中(zhong)(zhong)心,以尊重市(shi)場經(jing)濟(ji)規律(lv)和企(qi)業(ye)發(fa)(fa)展規律(lv)為(wei)(wei)原則(ze),以服務實體經(jing)濟(ji)、防控金(jin)融(rong)(rong)(rong)風險、深(shen)化金(jin)融(rong)(rong)(rong)改革為(wei)(wei)導(dao)(dao)(dao)向,統籌國(guo)(guo)有(you)金(jin)融(rong)(rong)(rong)資本(ben)(ben)戰略布局,完善(shan)國(guo)(guo)有(you)金(jin)融(rong)(rong)(rong)資本(ben)(ben)管理(li)體制(zhi),優化國(guo)(guo)有(you)金(jin)融(rong)(rong)(rong)資本(ben)(ben)管理(li)制(zhi)度(du),促進國(guo)(guo)有(you)金(jin)融(rong)(rong)(rong)機構持(chi)續(xu)(xu)健康經(jing)營,為(wei)(wei)推動金(jin)融(rong)(rong)(rong)治(zhi)理(li)體系和治(zhi)理(li)能力現代(dai)(dai)化,保障國(guo)(guo)家金(jin)融(rong)(rong)(rong)安全,促進經(jing)濟(ji)社會持(chi)續(xu)(xu)健康發(fa)(fa)展提(ti)供(gong)強大支撐。
(二)基本原則
——堅持服(fu)務(wu)大局。毫不動(dong)搖(yao)地鞏固和(he)發展公(gong)有(you)(you)制經濟(ji),保持國有(you)(you)金(jin)(jin)融資本在金(jin)(jin)融領域(yu)的(de)主導地位,保持國家對(dui)重(zhong)點金(jin)(jin)融機構的(de)控制力,更好(hao)服(fu)務(wu)于我國社會主義(yi)市場經濟(ji)的(de)發展。
——堅持統(tong)一管(guan)理。通過法(fa)治(zhi)思(si)維和(he)法(fa)治(zhi)方式推動(dong)國(guo)有金融(rong)資本管(guan)理制度(du)創新。加強(qiang)國(guo)有金融(rong)資本的統(tong)一管(guan)理、穿透管(guan)理和(he)統(tong)計(ji)監(jian)測(ce),強(qiang)化國(guo)有產權(quan)的全流程監(jian)管(guan),落實全口徑報告制度(du)。
——堅持權(quan)責明晰。厘清金(jin)融(rong)監管部門、履行國(guo)有(you)金(jin)融(rong)資(zi)本出(chu)資(zi)人職責的(de)機構和(he)國(guo)有(you)金(jin)融(rong)機構的(de)權(quan)責,完善授權(quan)經營體系,清晰委(wei)托(tuo)代(dai)理關(guan)系。放管結合,健全(quan)激勵約束機制,嚴防(fang)國(guo)有(you)金(jin)融(rong)資(zi)本流失。
——堅持問題導向。聚(ju)焦制(zhi)約國(guo)有(you)金(jin)(jin)融資(zi)本(ben)管理(li)(li)的問題和障礙,加強協調,統籌(chou)施策(ce),理(li)(li)順管理(li)(li)體制(zhi)機制(zhi),完善基(ji)本(ben)管理(li)(li)制(zhi)度(du),促進國(guo)有(you)金(jin)(jin)融資(zi)本(ben)布局優化(hua)、運作(zuo)規范和保值(zhi)增值(zhi),切實維(wei)護資(zi)本(ben)安全(quan)。
——堅持黨(dang)的領導(dao)。落實全(quan)面從嚴治黨(dang)要求,加強(qiang)國(guo)有金(jin)融(rong)機構黨(dang)的領導(dao)和(he)黨(dang)的建設,推(tui)動管(guan)資(zi)本與(yu)管(guan)黨(dang)建相(xiang)結合,保證黨(dang)的路線方針政策(ce)和(he)重大決策(ce)部署不折不扣貫徹落實。
(三)主要目標
建立健全國(guo)(guo)有(you)(you)金(jin)(jin)(jin)(jin)融(rong)資(zi)(zi)本(ben)管(guan)理的“四梁八柱(zhu)”,優化國(guo)(guo)有(you)(you)金(jin)(jin)(jin)(jin)融(rong)資(zi)(zi)本(ben)戰略布局,理順國(guo)(guo)有(you)(you)金(jin)(jin)(jin)(jin)融(rong)資(zi)(zi)本(ben)管(guan)理體制(zhi),增(zeng)(zeng)強國(guo)(guo)有(you)(you)金(jin)(jin)(jin)(jin)融(rong)機構活力與(yu)控制(zhi)力,促(cu)進國(guo)(guo)有(you)(you)金(jin)(jin)(jin)(jin)融(rong)資(zi)(zi)本(ben)保值增(zeng)(zeng)值,更(geng)好地實現服(fu)務實體經濟(ji)、防控金(jin)(jin)(jin)(jin)融(rong)風險、深化金(jin)(jin)(jin)(jin)融(rong)改革三(san)大基本(ben)任務。
——法(fa)律法(fa)規(gui)更(geng)加健(jian)全。制定出(chu)臺國(guo)有(you)金融資本(ben)管(guan)理法(fa)律法(fa)規(gui),明晰出(chu)資人的法(fa)律地位,實現(xian)權由法(fa)授、權責法(fa)定。履行國(guo)有(you)金融資本(ben)出(chu)資人職責的機(ji)構依法(fa)行使相關權利,按照權責匹配、權責對等原則(ze),承擔(dan)管(guan)理責任。
——資(zi)本布局(ju)更加合理。有進(jin)有退(tui)、突出重點,進(jin)一步提高國(guo)有金(jin)融(rong)資(zi)本配置效(xiao)率(lv),有效(xiao)發揮國(guo)有金(jin)融(rong)資(zi)本在金(jin)融(rong)領域(yu)的主導(dao)作用,繼續保持(chi)國(guo)家對(dui)重點國(guo)有金(jin)融(rong)機構(gou)的控制(zhi)力,顯著增強金(jin)融(rong)服(fu)務實(shi)體經濟的能力。
——資本(ben)管(guan)(guan)理(li)(li)更加完(wan)善。以(yi)資本(ben)為紐帶(dai),以(yi)產權為基礎,規范委托代理(li)(li)關系,完(wan)善國有金融資本(ben)管(guan)(guan)理(li)(li)方式,創新資本(ben)管(guan)(guan)理(li)(li)機制(zhi),強化(hua)資本(ben)管(guan)(guan)理(li)(li)手段,發揮激勵(li)約束(shu)作用,加強基礎設施建設,進一步提高管(guan)(guan)理(li)(li)的科學(xue)性、有效性。
——黨(dang)(dang)(dang)的(de)(de)建設(she)更加強化。加強黨(dang)(dang)(dang)對國(guo)有金融機構的(de)(de)領導,強化國(guo)有金融機構黨(dang)(dang)(dang)的(de)(de)建設(she),鞏固黨(dang)(dang)(dang)委(wei)(黨(dang)(dang)(dang)組(zu))在公(gong)司治理(li)中的(de)(de)法定地位,發揮(hui)黨(dang)(dang)(dang)委(wei)(黨(dang)(dang)(dang)組(zu))的(de)(de)領導作用,為國(guo)有金融資本(ben)管理(li)提供堅強有力的(de)(de)政治保(bao)(bao)證(zheng)、組(zu)織保(bao)(bao)證(zheng)和人才支撐。
二、完(wan)善國有金融資本管理體制
國有(you)(you)(you)金融(rong)(rong)資(zi)(zi)本(ben)是指國家及其授權(quan)投(tou)資(zi)(zi)主體(ti)直接(jie)或(huo)間接(jie)對(dui)金融(rong)(rong)機構(gou)出資(zi)(zi)所(suo)形(xing)成(cheng)的(de)(de)資(zi)(zi)本(ben)和應(ying)享有(you)(you)(you)的(de)(de)權(quan)益。憑借國家權(quan)力和信用支持的(de)(de)金融(rong)(rong)機構(gou)所(suo)形(xing)成(cheng)的(de)(de)資(zi)(zi)本(ben)和應(ying)享有(you)(you)(you)的(de)(de)權(quan)益,納(na)入國有(you)(you)(you)金融(rong)(rong)資(zi)(zi)本(ben)管理(li),法律另有(you)(you)(you)規定的(de)(de)除外。
(四)優化國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)配置格局。統(tong)籌規劃國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)戰(zhan)略布局,適應經(jing)濟發展需(xu)要(yao)(yao),有(you)(you)(you)(you)(you)(you)進有(you)(you)(you)(you)(you)(you)退、有(you)(you)(you)(you)(you)(you)所為(wei)有(you)(you)(you)(you)(you)(you)所不為(wei),合(he)理調整國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)在(zai)銀行、保險、證(zheng)券等(deng)行業的(de)(de)比重(zhong),提高資(zi)(zi)本(ben)(ben)(ben)配置效率,實(shi)現戰(zhan)略性(xing)、安(an)全(quan)性(xing)、效益性(xing)目標的(de)(de)統(tong)一。既(ji)要(yao)(yao)減少對國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)的(de)(de)過度占用,又要(yao)(yao)確保國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)在(zai)金(jin)(jin)融(rong)領域(yu)保持必要(yao)(yao)的(de)(de)控(kong)制(zhi)力(li)。對于(yu)開發性(xing)和政策性(xing)金(jin)(jin)融(rong)機(ji)(ji)構,保持國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)獨資(zi)(zi)或全(quan)資(zi)(zi)的(de)(de)性(xing)質。對于(yu)涉及國(guo)(guo)(guo)家(jia)(jia)金(jin)(jin)融(rong)安(an)全(quan)、外溢性(xing)強的(de)(de)金(jin)(jin)融(rong)基礎設(she)施類(lei)機(ji)(ji)構,保持國(guo)(guo)(guo)家(jia)(jia)絕(jue)對控(kong)制(zhi)力(li)。對于(yu)在(zai)行業中具有(you)(you)(you)(you)(you)(you)重(zhong)要(yao)(yao)影響的(de)(de)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)機(ji)(ji)構,保持國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)控(kong)制(zhi)力(li)和主(zhu)導作用。對于(yu)處于(yu)競爭領域(yu)的(de)(de)其他國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)機(ji)(ji)構,積極引(yin)入各類(lei)資(zi)(zi)本(ben)(ben)(ben),國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)資(zi)(zi)本(ben)(ben)(ben)可以絕(jue)對控(kong)股(gu)(gu)、相(xiang)對控(kong)股(gu)(gu),也可以參股(gu)(gu)。繼續(xu)按照(zhao)市場(chang)化原則,穩妥(tuo)推(tui)進國(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)金(jin)(jin)融(rong)機(ji)(ji)構混合(he)所有(you)(you)(you)(you)(you)(you)制(zhi)改革(ge)。
(五)明確國(guo)(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本(ben)(ben)出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責(ze)(ze)(ze)(ze)(ze)。國(guo)(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本(ben)(ben)屬于國(guo)(guo)家所有(you)(you)即全民所有(you)(you)。國(guo)(guo)務院代(dai)表國(guo)(guo)家行(xing)使國(guo)(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本(ben)(ben)所有(you)(you)權(quan)(quan)。國(guo)(guo)務院和地方政府依照法律法規,分別代(dai)表國(guo)(guo)家履(lv)行(xing)出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責(ze)(ze)(ze)(ze)(ze)。按照權(quan)(quan)責(ze)(ze)(ze)(ze)(ze)匹配、權(quan)(quan)責(ze)(ze)(ze)(ze)(ze)對等(deng)、權(quan)(quan)責(ze)(ze)(ze)(ze)(ze)統一的原(yuan)則(ze),各級(ji)財(cai)政部(bu)門根據本(ben)(ben)級(ji)政府授(shou)權(quan)(quan),集中(zhong)統一履(lv)行(xing)國(guo)(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本(ben)(ben)出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責(ze)(ze)(ze)(ze)(ze)。國(guo)(guo)務院授(shou)權(quan)(quan)財(cai)政部(bu)履(lv)行(xing)國(guo)(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本(ben)(ben)出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責(ze)(ze)(ze)(ze)(ze)。地方政府授(shou)權(quan)(quan)地方財(cai)政部(bu)門履(lv)行(xing)地方國(guo)(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本(ben)(ben)出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責(ze)(ze)(ze)(ze)(ze)。履(lv)行(xing)出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責(ze)(ze)(ze)(ze)(ze)的各級(ji)財(cai)政部(bu)門對相(xiang)關(guan)金(jin)融(rong)(rong)機構,依法依規享(xiang)有(you)(you)參(can)與重大(da)決(jue)策(ce)、選(xuan)擇管理者、享(xiang)有(you)(you)收(shou)益等(deng)出(chu)(chu)資(zi)(zi)人(ren)權(quan)(quan)利,并應當依照法律法規和企業(ye)章程等(deng)規定,履(lv)職(zhi)盡責(ze)(ze)(ze)(ze)(ze),保障出(chu)(chu)資(zi)(zi)人(ren)權(quan)(quan)益。
(六)加(jia)強國(guo)(guo)(guo)有(you)(you)(you)(you)金(jin)融(rong)(rong)資(zi)本(ben)(ben)(ben)(ben)(ben)統(tong)一管(guan)(guan)理(li)(li)(li)(li)。完善國(guo)(guo)(guo)有(you)(you)(you)(you)金(jin)融(rong)(rong)資(zi)本(ben)(ben)(ben)(ben)(ben)管(guan)(guan)理(li)(li)(li)(li)體制,根據(ju)統(tong)一規制、分級(ji)管(guan)(guan)理(li)(li)(li)(li)的(de)原則(ze),財(cai)政(zheng)部(bu)(bu)負責(ze)制定全(quan)國(guo)(guo)(guo)統(tong)一的(de)國(guo)(guo)(guo)有(you)(you)(you)(you)金(jin)融(rong)(rong)資(zi)本(ben)(ben)(ben)(ben)(ben)管(guan)(guan)理(li)(li)(li)(li)規章制度(du)。各(ge)級(ji)財(cai)政(zheng)部(bu)(bu)門依法(fa)依規履行國(guo)(guo)(guo)有(you)(you)(you)(you)金(jin)融(rong)(rong)資(zi)本(ben)(ben)(ben)(ben)(ben)管(guan)(guan)理(li)(li)(li)(li)職責(ze),負責(ze)組織(zhi)實施基礎管(guan)(guan)理(li)(li)(li)(li)、經營(ying)預算(suan)、績(ji)效(xiao)考核、負責(ze)人薪酬管(guan)(guan)理(li)(li)(li)(li)等工作(zuo)。嚴格(ge)規范金(jin)融(rong)(rong)綜合(he)經營(ying)和(he)產融(rong)(rong)結合(he),國(guo)(guo)(guo)有(you)(you)(you)(you)金(jin)融(rong)(rong)資(zi)本(ben)(ben)(ben)(ben)(ben)管(guan)(guan)理(li)(li)(li)(li)應當與實業資(zi)本(ben)(ben)(ben)(ben)(ben)管(guan)(guan)理(li)(li)(li)(li)相隔離,建立(li)風(feng)險(xian)防火墻(qiang),避免(mian)風(feng)險(xian)相互傳遞。各(ge)級(ji)財(cai)政(zheng)部(bu)(bu)門根據(ju)需要,可以分級(ji)分類委托其他部(bu)(bu)門、機構管(guan)(guan)理(li)(li)(li)(li)國(guo)(guo)(guo)有(you)(you)(you)(you)金(jin)融(rong)(rong)資(zi)本(ben)(ben)(ben)(ben)(ben)。

(十九)督促國(guo)(guo)有(you)金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)機(ji)(ji)構(gou)防范(fan)(fan)風(feng)險。強(qiang)化(hua)(hua)國(guo)(guo)有(you)金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)機(ji)(ji)構(gou)防范(fan)(fan)風(feng)險的主(zhu)體(ti)(ti)責任。推動國(guo)(guo)有(you)金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)機(ji)(ji)構(gou)細化(hua)(hua)完(wan)善內控體(ti)(ti)系,嚴(yan)守財務(wu)會計規(gui)(gui)則和(he)金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)監管(guan)要(yao)求(qiu),強(qiang)化(hua)(hua)自身資(zi)(zi)本管(guan)理和(he)償付(fu)能力管(guan)理,保證充足(zu)的風(feng)險吸(xi)收能力。督促國(guo)(guo)有(you)金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)機(ji)(ji)構(gou)堅持審慎經營(ying),加強(qiang)風(feng)險源頭控制(zhi),動態排查(cha)信(xin)用風(feng)險等(deng)各(ge)類風(feng)險隱患,健全風(feng)險防范(fan)(fan)和(he)應急處置(zhi)機(ji)(ji)制(zhi)。規(gui)(gui)范(fan)(fan)產(chan)融(rong)(rong)(rong)(rong)(rong)(rong)結合,按照金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)行業準(zhun)入條件,嚴(yan)格限制(zhi)和(he)規(gui)(gui)范(fan)(fan)非金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)企業投(tou)資(zi)(zi)參(can)股國(guo)(guo)有(you)金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)企業,參(can)股資(zi)(zi)金(jin)(jin)必須(xu)使用自有(you)資(zi)(zi)金(jin)(jin)。各(ge)級財政部(bu)門(men)、中央和(he)國(guo)(guo)家機(ji)(ji)關有(you)關部(bu)委以及地方政府不得(de)干(gan)預金(jin)(jin)融(rong)(rong)(rong)(rong)(rong)(rong)監管(guan)部(bu)門(men)依法監管(guan)。
五(wu)、加(jia)強黨對國有金融機(ji)構(gou)的領導
(二十)充(chong)分發(fa)(fa)揮黨(dang)委(黨(dang)組(zu)(zu))的(de)領(ling)導(dao)作(zuo)用(yong)。堅持黨(dang)要管(guan)(guan)黨(dang)、從嚴治黨(dang),堅持黨(dang)對國有(you)金(jin)融機(ji)(ji)構(gou)的(de)領(ling)導(dao)不動(dong)搖,發(fa)(fa)揮黨(dang)委(黨(dang)組(zu)(zu))的(de)領(ling)導(dao)作(zuo)用(yong)。堅持黨(dang)的(de)建(jian)設(she)與國有(you)金(jin)融機(ji)(ji)構(gou)改(gai)革同(tong)步謀劃、黨(dang)的(de)組(zu)(zu)織(zhi)及工作(zuo)機(ji)(ji)構(gou)同(tong)步設(she)置、黨(dang)委(黨(dang)組(zu)(zu))負(fu)責人及黨(dang)務(wu)工作(zuo)人員(yuan)同(tong)步配(pei)備、黨(dang)建(jian)工作(zuo)同(tong)步開展。國有(you)金(jin)融機(ji)(ji)構(gou)黨(dang)委(黨(dang)組(zu)(zu))把方向、管(guan)(guan)大局(ju)、保落實,重(zhong)點管(guan)(guan)政治方向、領(ling)導(dao)班子(zi)、基本制度、重(zhong)大決策(ce)和(he)黨(dang)的(de)建(jian)設(she),切實承擔好、落實好從嚴管(guan)(guan)黨(dang)治黨(dang)責任(ren)(ren)。把加強(qiang)黨(dang)的(de)領(ling)導(dao)和(he)完善公(gong)司治理(li)(li)統一起來,將黨(dang)建(jian)工作(zuo)總體要求納入(ru)國有(you)金(jin)融機(ji)(ji)構(gou)章程(cheng),明確(que)國有(you)金(jin)融機(ji)(ji)構(gou)黨(dang)委(黨(dang)組(zu)(zu))在(zai)公(gong)司治理(li)(li)結構(gou)中(zhong)的(de)法定地(di)位,規范黨(dang)委(黨(dang)組(zu)(zu))參與重(zhong)大決策(ce)的(de)內容和(he)程(cheng)序規則,把黨(dang)委(黨(dang)組(zu)(zu))會(hui)議研(yan)究討論(lun)作(zuo)為董事(shi)會(hui)決策(ce)重(zhong)大問題的(de)前置程(cheng)序。合(he)理(li)(li)確(que)定黨(dang)委(黨(dang)組(zu)(zu))領(ling)導(dao)班子(zi)成員(yuan)和(he)董事(shi)會(hui)、監事(shi)會(hui)、管(guan)(guan)理(li)(li)層雙向進(jin)入(ru)、交叉任(ren)(ren)職比例。

六、協同(tong)推進強化落實
(二十三)加強法(fa)治(zhi)建設。健全國(guo)有(you)金(jin)(jin)(jin)融資(zi)本(ben)管(guan)(guan)理(li)法(fa)律(lv)法(fa)規(gui)體(ti)(ti)(ti)系(xi),做好相關(guan)法(fa)律(lv)法(fa)規(gui)的立改(gai)廢釋工作(zuo)。按照(zhao)法(fa)定(ding)程序,加快制(zhi)(zhi)定(ding)國(guo)有(you)金(jin)(jin)(jin)融資(zi)本(ben)管(guan)(guan)理(li)條例(li),明確授權經營(ying)體(ti)(ti)(ti)制(zhi)(zhi),為完善(shan)國(guo)有(you)金(jin)(jin)(jin)融資(zi)本(ben)管(guan)(guan)理(li)體(ti)(ti)(ti)制(zhi)(zhi)機制(zhi)(zhi)夯實法(fa)律(lv)基(ji)礎。研究(jiu)建立統一的國(guo)有(you)金(jin)(jin)(jin)融資(zi)本(ben)出資(zi)人(ren)制(zhi)(zhi)度(du),明確出資(zi)人(ren)的權利、義務和(he)責任。完善(shan)和(he)落實國(guo)有(you)金(jin)(jin)(jin)融資(zi)本(ben)管(guan)(guan)理(li)各項配套政策。
(二十四)加強協(xie)調配(pei)合(he)。履(lv)行(xing)(xing)國(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本出資(zi)(zi)人(ren)職(zhi)責的機構(gou)要與(yu)人(ren)民(min)銀(yin)行(xing)(xing)、金(jin)融(rong)(rong)監(jian)管部(bu)門加強溝(gou)通協(xie)調和信息共享,形成工(gong)作合(he)力。履(lv)行(xing)(xing)國(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本出資(zi)(zi)人(ren)職(zhi)責的機構(gou)在(zai)制定完善(shan)國(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本管理(li)制度(du)時,涉及其他金(jin)融(rong)(rong)管理(li)部(bu)門有(you)(you)關(guan)監(jian)管職(zhi)責的,應當主動征(zheng)求(qiu)有(you)(you)關(guan)部(bu)門意見。其他金(jin)融(rong)(rong)管理(li)部(bu)門在(zai)制定發布相(xiang)關(guan)監(jian)管政(zheng)策時,要及時向(xiang)履(lv)行(xing)(xing)國(guo)有(you)(you)金(jin)融(rong)(rong)資(zi)(zi)本出資(zi)(zi)人(ren)職(zhi)責的機構(gou)通報相(xiang)關(guan)情(qing)況。
(二(er)十五)嚴格責(ze)(ze)任(ren)追究。建立健(jian)全國(guo)有(you)(you)金(jin)融機構重(zhong)大(da)(da)(da)決策失(shi)誤和(he)失(shi)職、瀆(du)職責(ze)(ze)任(ren)追究倒查機制,嚴厲查處(chu)侵吞、貪污、輸送、揮霍國(guo)有(you)(you)金(jin)融資本(ben)的(de)行(xing)為。建立健(jian)全國(guo)有(you)(you)金(jin)融資本(ben)管理的(de)監(jian)督(du)問責(ze)(ze)機制,對(dui)形(xing)成風(feng)險沒有(you)(you)發現(xian)的(de)失(shi)職行(xing)為,對(dui)發現(xian)風(feng)險沒有(you)(you)及(ji)時提(ti)示(shi)和(he)處(chu)置的(de)瀆(du)職行(xing)為,加(jia)大(da)(da)(da)懲(cheng)戒力(li)(li)度。對(dui)重(zhong)大(da)(da)(da)違法違紀問題敷衍不(bu)追、隱(yin)匿不(bu)報(bao)、查處(chu)不(bu)力(li)(li)的(de),嚴格追究有(you)(you)關(guan)部門和(he)相關(guan)人員責(ze)(ze)任(ren),構成犯罪的(de),堅決依法追究刑事(shi)責(ze)(ze)任(ren)。
(二十六)加強信息披(pi)露。建立統一的(de)(de)國(guo)有(you)金(jin)融(rong)資(zi)(zi)本(ben)統計監測和(he)(he)報告(gao)制(zhi)度(du),完整反映(ying)國(guo)有(you)金(jin)融(rong)資(zi)(zi)本(ben)的(de)(de)總量、投向(xiang)、布局、處置、收益(yi)等內容,編制(zhi)政(zheng)府資(zi)(zi)產負債表,報告(gao)國(guo)有(you)金(jin)融(rong)機構(gou)改革、資(zi)(zi)產監管(guan)(guan)、風險控制(zhi)、高級管(guan)(guan)理人員薪酬(chou)等情(qing)(qing)況(kuang)。國(guo)有(you)金(jin)融(rong)資(zi)(zi)本(ben)情(qing)(qing)況(kuang)要全口徑向(xiang)黨中央報告(gao),并按(an)規定(ding)向(xiang)全國(guo)人大常委會(hui)報告(gao)國(guo)有(you)金(jin)融(rong)資(zi)(zi)產管(guan)(guan)理情(qing)(qing)況(kuang),具(ju)體(ti)報告(gao)責(ze)任由財政(zheng)部(bu)承擔(dan)。各級財政(zheng)部(bu)門定(ding)期(qi)向(xiang)同(tong)級政(zheng)府報告(gao)國(guo)有(you)金(jin)融(rong)資(zi)(zi)本(ben)管(guan)(guan)理情(qing)(qing)況(kuang)。國(guo)務院和(he)(he)地(di)方政(zheng)府應當對履行(xing)出資(zi)(zi)人職(zhi)責(ze)機構(gou)的(de)(de)履職(zhi)情(qing)(qing)況(kuang)進行(xing)監督,依法向(xiang)社會(hui)公布國(guo)有(you)金(jin)融(rong)資(zi)(zi)本(ben)狀況(kuang),接受社會(hui)公眾的(de)(de)監督。
各級黨委和政府要統一思想,以(yi)高(gao)度的(de)政治責任感和歷史使命感,切實履(lv)行對完善國(guo)有(you)金融(rong)資本管(guan)理(li)工(gong)作的(de)領導責任。要根據本意(yi)(yi)見(jian),結合(he)實際制(zhi)定(ding)實施意(yi)(yi)見(jian),加強(qiang)統籌協調(diao)、明確責任分工(gong)、細(xi)化目標任務、強(qiang)化督(du)促(cu)落實,確保國(guo)有(you)金融(rong)資本管(guan)理(li)得到有(you)效(xiao)加強(qiang)。
